Turf Irrigation Supply

JD Ford & Company represented the shareholders of the first and third largest market share irrigation supply distributors in Colorado. The companies' combined sales exceeded $24 million from multiple branch locations. JD Ford was engaged to identify strategic buyers and facilitate the sale of Turf Irrigation Supply. In an effort to create value for the Turf shareholder, we approached Westurf Distributors, the third largest distributor in the state, and engaged them in a combined sales transaction to a strategic buyer thereby controlling 50% of the market. In completing this transaction, JD Ford met the conflicting desires of differing shareholders, created a highly competitive auction in a rapidly consolidating industry and obtained a premium price for both companies. The transaction involved a recapitalization of the upstream buyer and a structured transaction including 70% cash at closing and a 90-day note that was repaid when the buyer completed its recapitalization with a large private equity firm. This transaction was completed within 18 months of our engagement despite one failed transaction that required JD Ford to reconstruct a deal with a new buyer.
