The Charlie Case Tire Company

JD Ford and Company represented the shareholder of the largest wholesale tire distributor in Arizona. The company is a second-generation family business with revenues in excess of $50 million. The transaction was completed with AmPac, Inc., a division of the Japanese conglomerate Itochu International, Inc., which was seeking to expand its distribution in the United States. The transaction was structured to enable the seller to receive a premium price for the company, pay off all debt, retain ownership of real estate, participate in future earnings, and enable non-owner managers to participate in the value of the transaction. The consolidation of Charlie Case into AmPac created the dominant tire distributor in the Southwestern United States.
