Summit Lumber Company

JD Ford & Company represented the shareholders of Summit Lumber Company in the sale of its assets to Alpine Lumber. The transaction allowed the Seller to successfully exit the lumber supply company and enter his retirement years financially secure. After performing a valuation and marketability assessment for the Company, we successfully identified, contacted and facilitated negotiations with a variety of potential acquirers, including Alpine Lumber. One of the key concerns for our client was that his employees be properly taken care of. Alpine Lumber is a 100% employee owned company, which resulted in the employees of Summit Lumber becoming owners themselves. Upon determining that Alpine was the most qualified buyer, we represented our client through detailed negotiations and guided the Company through the comprehensive due diligence process. In addition to advising on the transaction, we worked with our clients CPA to structure the asset sale for this C-corporation, in a manner that minimized the tax consequences of the transaction.
