Pumpkin Masters, Inc.

JD Ford & Company represented the shareholders of the world's largest manufacturer of pumpkin carving products in the sale of its stock to Security Capital Corporation, a publicly traded Pacific Stock Exchange Company. JD Ford & Company first identified buyers that could leverage the company's seasonal product line with other complementary products or counter seasonal products. This transaction was complicated by a corporate structure that held all of the intellectual property and operating assets in one company separate from the company that owned all of the tangible assets. Furthermore, this transaction involved a reorganization of the management structure of the company at the time of closing. This transaction was structured to enable the buyer to monetize a portion of a $30 million net operating loss carry-forward that it controlled through one of its affiliates.
