JD Ford & Company represented the shareholder in his sale of Z-Management, Inc. to Sonic Automotive Group in a complex, extensively negotiated transaction. Z-Management is a holding company that included Mountain States Motors, the #1 Volkswagen dealership in the Rocky Mountain region, and one of the top 5 VW dealerships in the country. We successfully identified, contacted and facilitated preliminary negotiations with a variety of potential acquirers. Upon determining that Sonic Automotive was the most qualified buyer, we represented our client through highly detailed negotiations and guided the Company through the comprehensive due diligence process. Ultimately, we successfully conceived of and executed a complex transaction that resulted in optimized tax consequences for our client, while allowing him to receive a premium price for his company and to exit the business upon closing. In addition, we were able to provide expert valuation services for a related entity on short notice, ensuring the successful completion of the transaction in less than 11 months from inception to close.
