JD Ford & Company is pleased to have represented the shareholders of Humm Foods Inc. d/b/a LÄRABAR®, a leading all natural food bar known for its simple ingredients and indulgent taste, in its merger with General Mills, the world’s sixth largest food company and brand manager. JD Ford identified a world class list of potential acquirers and contacted the senior executives within these global food companies. Upon determining that General Mills was the most suitable buyer, we quickly guided the Company through highly detailed negotiations and through the comprehensive due diligence process. Ultimately we executed a complex transaction that minimized tax consequences and maximized the price paid. The transaction further allowed those shareholders seeking an exit to do so on their terms while the founding shareholder was able to remain with the Company, providing her the freedom to focus on the creative aspect of the business she loves.
