JD Ford & Company represented the shareholders of Denver's oldest lumber dealer in the sale of its stock to BSL Holdings, Inc. a privately-held, Wall Street-backed building materials dealer consolidator. This engagement required JD Ford to analyze and develop a thorough understanding of the rapidly changing Denver lumber marketplace and the seller's strengths and weaknesses. We identified numerous strategic buyers attempting to enter the Denver marketplace and conducted a controlled auction with these buyers. JD Ford negotiated and maintained a premium valuation for our client. We successfully overcame complications resulting from lumber prices escalating throughout the engagement, an overly complex definitive agreement and an exhaustive due diligence process conducted by the buyers.
