JD Ford & Company represented the shareholders of Denver Solutions Group (“DSG”) in the sale of its assets to Sirius Computer Solutions. DSG is a leading IBM Premier Business Partner, and is nationally recognized for their expertise in zSeries product solutions. Given the national scope and operations of the Company, the client needed a quick, efficient transaction with minimal impact on the operations of the Company. After identifying a group of potential acquirers, we presented the opportunity to a very select group, assuring minimal disclosure of confidential information within a very tight, close-knit industry. In the four short months between initial contact and closing with Sirius, we successfully negotiated a complex transaction, including employment and non-compete agreements for key employees, and facilitated a detailed due diligence process. The result was a transaction where our client received a premium in excess of even his own desired outcome, successfully securing his financial independence, while also providing for further opportunities for his employees going forward.
